Today, we’ll briefly talk about what details need to be noted when buying property under a company’s name in New York.
When our office represents buyers, we’ve had many clients who, for various reasons, have chosen to use an LLC or INC to purchase properties. Today, we’ll use an LLC as an example to provide a brief introduction.
First, what documents are required when buying property under a company’s name?
We will need the client to provide LLC formation documents. For example, in New York State, these include:
Articles of Organization
Filing Receipt
In other states, these documents may have different names. These two documents serve as proof of the LLC’s valid formation.
Secondly, we need the client to provide the LLC’s Taxpayer Identification Number, also known as the EIN.
Since the EIN needs to be issued by the IRS, it takes some time to process. Some clients might not have the EIN at the time of signing the contract, but it is fine to provide it at closing. For all-cash deals, if the client wants to close soon after signing, we will need to communicate with the title company in advance.
Thirdly, we require the client to provide the LLC’s Operating Agreement.
This document typically outlines the internal operational details of the company, including its members, its manager, and the structure of the LLC.
Fourth, newly formed LLCs in New York State must meet the publication requirement.
Additionally, many clients are concerned about what to do if the LLC’s authorized signatory cannot attend the closing in person.
In such cases, we can prepare an internal document for the LLC, called a Resolution, to authorize the purchaser's attorney or another person designated by the client to sign the closing documents.
Finally, we will pay attention to whether this purchase involves financing. If a loan is involved, some banks may have specific requirements. Therefore, we recommend that clients confirm their lender’s requirements before signing the contract.
